These Terms and Conditions (“Terms”) govern the use of the website, products, and services provided by WintTech Systems Ltd (“WintTech”, “we”, “us”, or “our”). By accessing or using our website or purchasing our products, you agree to be bound by these Terms. Please read them carefully before engaging with our services.
1. DEFINITIONS
Client refers to any individual, company, or entity that purchases or enquires about products or services from WintTech Systems Ltd.
Products refers to computers, hardware, software, and related equipment offered for sale or distribution.
Services means any support, consultancy, installation, configuration, or other technical services provided by WintTech.
Agreement means the contract formed when WintTech accepts an order or quotation request from the Client.
2. SCOPE OF SERVICES
WintTech provides wholesale supply of computers, peripherals, software licensing, and IT infrastructure components. Additional services may include system configuration, network setup, and after-sales support, subject to written agreement.
All specifications, features, and pricing are subject to change without prior notice. Any performance figures stated by WintTech are estimates and not guarantees unless expressly confirmed in writing.
3. ORDERS AND ACCEPTANCE
All orders must be placed in writing or electronically via our approved channels. No contract shall be deemed to exist until written acceptance or an order confirmation is issued by WintTech.
WintTech reserves the right to refuse any order or restrict quantities without obligation to provide a reason.
Clients are responsible for ensuring the accuracy of order details, including model numbers, quantities, and delivery information.
4. PRICING AND PAYMENT
All prices are quoted exclusive of VAT and delivery unless stated otherwise.
Invoices are payable within 30 days from the date of issue, unless alternative terms have been agreed in writing.
WintTech reserves the right to charge interest on late payments at 8% above the Bank of England base rate, calculated daily, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Ownership of goods does not pass to the Client until full payment has been received and cleared.
5. DELIVERY AND RISK
Delivery dates are approximate and subject to availability. WintTech shall not be liable for delays caused by third-party couriers, customs clearance, or events beyond its reasonable control.
Risk in the goods passes to the Client upon delivery. The Client must inspect all goods within 48 hours of receipt and notify WintTech in writing of any defects or shortages.
6. RETURNS AND WARRANTY
Faulty goods must be reported within 7 working days of receipt. WintTech will, at its discretion, repair, replace, or refund defective products that are covered under the manufacturer’s warranty.
Products returned without prior authorisation or beyond the warranty period may be subject to rejection or handling fees.
Software, licenses, or bespoke configurations are non-returnable once activated or supplied.
7. LIMITATION OF LIABILITY
To the fullest extent permitted by law, WintTech shall not be liable for:
- Indirect, consequential, or incidental losses;
- Loss of data, revenue, or business opportunity;
- Third-party claims arising from misuse or modification of goods.
In any event, WintTech’s total liability shall not exceed the amount paid by the Client for the goods or services directly giving rise to the claim.
8. CLIENT OBLIGATIONS
The Client agrees to:
- Provide accurate, complete information necessary for order fulfilment;
- Use supplied products lawfully and in accordance with manufacturer guidelines;
- Ensure compatibility of purchased hardware or software within their existing systems.
9. SOFTWARE LICENSING
Software supplied by WintTech is subject to the licensing terms of the respective publisher or manufacturer. The Client is responsible for reviewing, accepting, and complying with all end-user licence agreements (EULAs).
Unauthorised duplication or redistribution of licensed software is strictly prohibited and may result in legal action.
10. DATA PROTECTION
WintTech processes personal data in compliance with the UK Data Protection Act 2018 and UK GDPR.
Client data is used solely for the fulfilment of contracts, account management, and legal compliance.

11. CONFIDENTIALITY
Both parties agree to maintain confidentiality over all non-public, proprietary, or sensitive information disclosed during business dealings. This obligation shall survive termination of any agreement.
12. INTELLECTUAL PROPERTY
All content on the WintTech website, including text, images, logos, and software, is the intellectual property of WintTech Systems Ltd or its licensors. Reproduction or redistribution without written consent is strictly prohibited.
13. FORCE MAJEURE
WintTech shall not be held liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, war, pandemics, or transportation disruptions.
14. TERMINATION
Either party may terminate the agreement with written notice if the other breaches a material term and fails to remedy it within 14 days of notification.
Upon termination, all outstanding sums become immediately payable.
15. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of England and Wales.
The parties submit to the exclusive jurisdiction of the English courts.
16. AMENDMENTS
WintTech reserves the right to amend these Terms at any time. Updates will be published on our website and take effect immediately upon posting. Continued use of our services constitutes acceptance of the revised Terms.
